Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AICORES platform ("Service"), operated by AI-CORES Digital Systems Limited ("we", "us", "our"), a company registered in Ireland.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Account" means your registered AICORES user account.
  • "Workspace" means the business entity or organisation you create within AICORES.
  • "User Data" means any data, content, or information you upload, enter, or generate through the Service.
  • "Subscription" means a paid tier of the Service (Launchpad, Foundation, Growth, Scale, Exit-Ready, or Architect).

2. Account Registration

You must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your password and for all activities under your account. You must be at least 18 years old to use the Service.

3. Subscriptions and Billing

3.1 Free Tier

The Free tier provides access to the CORES Diagnostic and one AI insight. No payment is required.

3.2 Paid Subscriptions

Paid subscriptions are billed monthly (via Stripe) or annually (via GoCardless direct debit). Annual subscriptions receive a discount equivalent to two months free. Prices are displayed in your chosen currency (EUR, GBP, USD, AUD, or NZD) and are inclusive of applicable taxes unless otherwise stated.

3.3 Free Trials

We may offer a 14-day free trial. You will not be charged during the trial. If you do not subscribe before the trial ends, your workspace will revert to the Free tier.

3.4 Cancellation

You may cancel your subscription at any time from Settings. Cancellation takes effect at the end of your current billing period — you retain access until then. We do not offer refunds for partial months or unused portions of a subscription.

3.5 Failed Payments

If a payment fails, we will attempt to collect it up to 3 times. After the first failure, your account is marked as past due. After the second failure, a 7-day grace period begins. After the third failure, your workspace is downgraded to the Free tier.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Interfere with or disrupt the Service or the servers or networks connected to it.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit harmful content, including malware or phishing.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.

5. Your Data

5.1 Ownership

You retain all rights, title, and interest in your User Data. We do not claim ownership of your data.

5.2 Licence

You grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service. This licence terminates when you delete your data or close your account.

5.3 Data Processing

We process your data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement (DPA). We use Supabase (hosted in EU data centres) for data storage and Anthropic's Claude for AI features.

6. AI Features

The Service includes AI-generated insights, reports, and recommendations. These are provided for informational purposes only and do not constitute financial, legal, tax, or professional advice. You should always consult qualified professionals before making business decisions based on AI outputs.

We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

7. Intellectual Property

The Service, including its design, features, code, and documentation, is the intellectual property of Arkkeys Systems Ltd and AI-CORES Digital Systems Limited. AICORES and CORES are registered trademarks. You may not use our trademarks without prior written permission.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, whether express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

10. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will provide reasonable notice and an opportunity to export your data where possible.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland.
